Solution , simple

rename Registry Key

HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\SharePoint Portal Server

to

HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\SharePoint Portal Server Old
